Common Causes of Corporate and Partnership Disputes

Disputes among business stakeholders usually stem from divergent visions, financial disagreements, or breaches of trust. Some of the most frequent causes include:

  • Breaches of Fiduciary Duty: Directors or partners acting in their own self-interest rather than in the best interests of the company or partnership.
  • Exclusion from Management: A minority shareholder or partner being systematically frozen out of operational decisions, board meetings, or access to financial records.
  • Disagreements over Profit Distribution: Conflicts regarding dividend policies, profit shares, excessive directors’ remuneration, or the withdrawal of capital.
  • Deadlocks: Equal 50/50 shareholdings or partnerships resulting in a voting stalemate where critical business decisions cannot be made.
  • Breaches of Shareholders’ Agreements or Partnership Deeds: Violations of restrictive covenants, non-compete clauses, or agreed-upon governance procedures.
  • Admission or Expulsion of Members: Disputes regarding bringing in new partners/shareholders or forcing out a member due to poor performance or misconduct.

Difference Between a Company Dispute and a Partnership Dispute

While both involve internal business conflicts, the legal frameworks governing companies and partnerships in Ireland are fundamentally distinct:

  • Legal Entity and Liability: A limited company is a separate legal entity distinct from its owners (shareholders), with liability typically limited to the value of shares held. Conversely, a traditional partnership is not a separate legal entity; partners share joint and several personal liability for the debts and obligations of the business.
  • Governing Documents: Company disputes are governed by the Companies Act 2014, the company’s Constitution, and any Shareholders’ Agreement. Partnership disputes are governed by the Partnership Act 1890 (where no formal written agreement exists) or, ideally, a detailed, bespoke Partnership Agreement.
  • Remedies and Relief: In a company dispute, oppressed shareholders can seek statutory remedies under the Companies Act 2014 (such as a court-ordered buyout or a winding up order on just and equitable grounds). In a partnership dispute, the breakdown of mutual trust often leads to the formal dissolution of the partnership, an accounting of assets, and asset distribution under partnership law.

Steps to Resolve a Corporate or Partnership Dispute

Resolving internal business conflicts requires a delicate balance of legal rigor and commercial pragmatism. A structured approach typically involves:

We meticulously examine the company Constitution, Shareholders’ Agreement, or Partnership Deed to identify rights, obligations, dispute resolution clauses, and exit mechanisms

We evaluate the strengths and weaknesses of your position and advise on the most commercially viable path forward, minimizing unnecessary escalation.

Before rushing to court, we endeavor to resolve disputes through structured negotiation, independent commercial mediation, or expert determination, preserving capital and confidentiality.

If a negotiated settlement is unattainable, we initiate formal legal proceedings such as minority oppression petitions, injunctions to restrain director misconduct, or claims for breach of contract in the High Court or Commercial Court.
